Western Magnesium Closes Convertible Note Financing

NEW YORK, NY – TheNewswire – July 15, 2021 – Western Magnesium Corporation (TSXV:WMG; Frankfurt-3WM; OTCQB:MLYF) (“Western Magnesium” or the “Company”) “Company”) announces that it has closed its convertible note financing (the “Convertible Note”) previously announced April 30th in the amount of CDN$100,000.
The Principal Amount of the Convertible Note will bear interest at 12% per annum, and any accrued but unpaid interest, will mature on the date that is one (1) year following the Closing Date (the “Maturity Date”). Each Convertible Note may be convertible into common shares, (a “Share”), of the Company at $0.12 per Share and any accrued but unpaid interest thereon will be convertible into Shares at $0.12 and will have warrants exercisable for a period of 2 years at $0.20.
The completion of the convertible note financing is subject to the final approval of the TSX Venture Exchange. The securities issued will be subject to a statutory hold period in Canada for a period of four months and one day from the Closing Date. The securities have not been registered with the SEC and are also subject to a statutory one-year hold period in compliance with Regulation S of the Securities Act of 1933 as amended. The Regulation S hold period supersedes the TSX Venture Exchange hold period. Proceeds of the private placement will be used for working capital.
